These Terms of Service ("Terms") govern your use of the LogiClean website and our data cleaning services. By using our services, you agree to these Terms.
1. Services
LogiClean provides invoice and dispatch data cleaning services, which may include normalizing fields, correcting obvious formatting issues, detecting possible duplicates, and preparing files for use in other systems.
We do not provide legal, financial, or tax advice, and we are not responsible for how you choose to use the cleaned data in your business.
2. Your responsibilities
By providing files and data to LogiClean, you confirm that:
- You have the authority to share the data with us for the purpose of data cleaning.
- You will not send data that you are legally prohibited from sharing with third parties.
- You understand that the quality of the output depends on the quality and completeness of the input data.
3. Use of cleaned data
Our role is to assist with cleaning and standardizing your data. You remain responsible for:
- Reviewing the cleaned data before using it for billing, reporting, or other business decisions.
- Ensuring that the data meets any legal, regulatory, or internal requirements applicable to your business.
4. No guarantee of perfection
While we take care to improve the consistency and usefulness of your data, no data cleaning process can guarantee perfection, especially when the original data contains inconsistencies, missing values, or conflicting information.
5. Fees and payment
If you sign up for a recurring plan or agree to project-based pricing, you agree to pay the fees that are communicated and agreed upon in writing (for example, by email or on an invoice).
Any changes to pricing will be communicated in advance where possible. For ongoing services, you may cancel future work by notifying us, but fees already incurred for work performed remain payable.
6. Confidentiality
We treat the data you provide as confidential and use it only for the purpose of providing services to you. We do not sell your data to third parties.
We may share information with carefully selected service providers who help us operate our business (for example, email or file storage providers), as described in our Privacy Policy.
7. Limitation of liability
To the maximum extent permitted by applicable law, LogiClean will not be liable for any indirect, incidental, consequential, or special damages arising out of or relating to your use of our services, including but not limited to lost profits, lost data, or business interruption.
To the extent we are found liable, our total liability for any claim relating to our services will not exceed the amount you paid for the specific service giving rise to the claim.
8. Changes to services
We may update or modify our services from time to time in order to improve them or adapt to changing circumstances. We will aim to communicate material changes that may affect existing customers.
9. Governing law
These Terms are governed by the laws of the province of Ontario, Canada, and the federal laws of Canada applicable there. Any disputes arising out of or relating to these Terms or our services will be subject to the jurisdiction of the courts located in Ontario, unless otherwise required by applicable law.
